Lion Acquires Fermentum Group

We congratulate Lion on its recent acquisition of the Fermentum Group.

The Fermentum Group is the family-owned business behind Australia’s iconic Stone and Wood breweries, Two Birds, Fixation, Little Dragon and Sunly Seltzer. The Fermentum Group is built on a vision of “Brewing as a Force for Good”, which was a focal point of the negotiations.  As part of the proposal, Lion has confirmed it will be building a new brewery at Murwillumbah; it has pledged to donate $6 million to local groups; and it is committed to transitioning the Fermentum Group breweries to carbon neutrality.

Lion approached us regarding due diligence work to be executed prior to acquisition. We provided Lion with comprehensive reports on operational matters, advice on adjustments to current and future licensing of sites, together with important due diligence and compliance related matters for the licences being acquired.  We could then advise Lion on the matters that should be addressed before and post settlement.

When purchasing a liquor licence(s), it is essential that a comprehensive due diligence exercise is undertaken to ensure the purchaser’s current expectations as well as the potential to modify and improve the subject matter of the acquisition is feasible. Back Schwartz Vaughan is the industry leader in this area. Please contact our office if you require any due diligence advice or for any other liquor licensing matters.
